1. Agreement to Terms

Welcome to SAM-PA ("Smart Automated Mate - Personal Assistant"). These Terms of Service ("Terms") govern your access to and use of SAM-PA, a WhatsApp-based productivity tool operated by UltraGames Entertainment Pvt. Ltd. ("Company," "we," "us," or "our").

By accessing or using SAM-PA, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service. These Terms apply to all users of the Service.

2. Description of Service

SAM-PA is a WhatsApp-based productivity tool that helps you organize your life through:

• Task and to-do list management
• Reminders and scheduling
• Idea capture and organization
• Voice note transcription and processing
• Document and image storage with OCR
• Natural language search across your data
• Calendar integration and daily summaries

The Service is provided via WhatsApp and requires a valid WhatsApp account. We are not affiliated with WhatsApp or Meta Platforms, Inc.

3. Eligibility

To use SAM-PA, you must:

• Be at least 13 years of age (or the minimum age in your jurisdiction)
• Have a valid WhatsApp account
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Service under applicable laws

By using SAM-PA, you represent and warrant that you meet all eligibility requirements.

4. Account and Registration

Your SAM-PA account is created automatically when you first message our WhatsApp number. You are responsible for:

• Maintaining the security of your WhatsApp account
• All activities that occur through your account
• Ensuring your account information is accurate
• Notifying us immediately of any unauthorized use

5. Acceptable Use

You agree to use SAM-PA only for lawful purposes and in accordance with these Terms. You may not:

• Use the Service for any illegal or unauthorized purpose
• Violate any laws in your jurisdiction
• Send spam, bulk messages, or unsolicited content
• Attempt to interfere with or disrupt the Service
• Reverse engineer or attempt to extract source code
• Impersonate others or misrepresent your identity
• Share content that is harmful, abusive, or violates others' rights
• Use the Service to store or transmit malicious code
• Exceed rate limits or abuse the Service

6. Your Content

You retain ownership of all content you submit to SAM-PA ("User Content"), including messages, voice notes, images, and documents. By submitting User Content, you grant us a limited license to:

• Store, process, and display your content to provide the Service
• Analyze content to improve service capabilities (in anonymized form)
• Create backups for data recovery purposes

You represent that you have the necessary rights to submit User Content and that it does not infringe on the rights of any third party.

7. Subscription and Payment

SAM offers both free and paid subscription plans:

• Free Plan: Limited features as described on our pricing page
• Paid Plans: Monthly or annual subscriptions with additional features

For paid subscriptions:

• Fees are charged in advance on a recurring basis
• Refunds are available within 7 days of first subscription (see our Refund Policy)
• We may change pricing with 30 days' notice
• You may cancel your subscription at any time
• Upon cancellation, you retain access until the end of the billing period

8. Free Access Period

SAM-PA is currently offered FREE for all users during our community-building phase. The duration of this free period is at our discretion and may be extended based on user growth and community engagement. We will provide reasonable notice before implementing any paid subscription requirements. One account per user/phone number.

9. Intellectual Property

The Service, including its original content, features, and functionality, is owned by SAM-PA and is protected by copyright, trademark, and other intellectual property laws.

The SAM-PA name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of SAM-PA. You may not use such marks without our prior written permission.

10. Third-Party Services

SAM-PA integrates with third-party services including:

• WhatsApp: Subject to WhatsApp's Terms of Service
• Google Calendar: For calendar integration (optional)
• Smart Processing Services: For natural language processing

Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for third-party services.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING:

• Merchantability and fitness for a particular purpose
• Accuracy, reliability, or completeness of content
• Uninterrupted or error-free service
• Security of data transmission

Automated responses may contain errors. Always verify important information independently. We are not responsible for missed reminders or scheduling conflicts.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SAM-PA BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, or goodwill
• Any damages resulting from your use of the Service

Our total liability shall not exceed the amounts paid by you in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless SAM-PA, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms.

14. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including if you breach these Terms.

You may terminate your account at any time by messaging "DELETE ACCOUNT" to SAM-PA. Upon termination:

• Your right to use the Service will immediately cease
• We may delete your User Content after a reasonable period
• Provisions that should survive termination will remain in effect

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Bengaluru, Karnataka, India.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via WhatsApp or by posting on our website. Your continued use of the Service after changes constitutes acceptance of the new Terms.

17. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.
